Corporate Paralegal | The Edge Group
The Tone:
This is a full-time, onsite role at The Edge Group, located in Houston, TX, with required hours of Monday through Friday, 8 am to 5 pm. The Edge Group is recognized as a global leader in advanced reservoir optimization technologies. This position is designed for a professional to provide comprehensive legal and administrative support to the General Counsel and the broader Legal Department. The role is integral to the daily operations of the legal function, playing a key part in supporting critical areas such as corporate governance, mergers and acquisitions, commercial contracting, securities and SEC compliance, regulatory and trade compliance, and essential entity management across both domestic and international jurisdictions. The ideal candidate will bring exceptional organizational skills, strong communication, and sound judgment to this vital function.

• Mission: To provide comprehensive legal and administrative support for corporate governance, transactions, compliance, and entity management across global jurisdictions.
• Tech Stack: Contract lifecycle management systems, legal entity management databases, board portal platforms (e.g., Diligent Boards, BoardEffect).
What You’ll Actually Do
• Corporate Governance: Draft and prepare a range of corporate governance documents, including board resolutions, meeting minutes, written consents, and officer certificates, while also meticulously maintaining corporate minute books, stock ledgers, and entity records for all domestic and international subsidiaries.
• Entity & Compliance Management: Manage requests for KYC, AML, beneficial ownership, and due diligence from various stakeholders, and maintain and update legal entity management databases with accurate officer, director, and ownership records. This also includes coordinating powers of attorney, notarizations, and international legalization processes.
• Contract & Commercial Support: Administer contract lifecycle management systems by tracking contract obligations, renewals, and expirations, and assist with tender reviews, contract administration, and the preparation of routine commercial agreements and non-disclosure agreements.
• Transactional & Regulatory Support: Provide comprehensive support for mergers, acquisitions, divestitures, and other strategic transactions, encompassing due diligence coordination, virtual data room management, and closing document preparation. This also includes conducting corporate searches and filings with state, federal, and international regulatory agencies.
• Legal & Executive Administration: Assist with board and committee meeting preparation, including agenda and material management, support securities and SEC compliance activities like periodic filings, help administer records retention programs, and provide executive assistant support to the General Counsel for calendar, travel, and expense management.
The Must-Haves
• Background: Bachelor’s degree required with a minimum of three years of corporate paralegal experience in an in-house legal department, law firm, or similar setting.
• Experience: Proven experience supporting corporate governance, M&A transactions, SEC filings, and multi-jurisdictional entity management, including familiarity with board portal platforms such as Diligent Boards or BoardEffect.
• Skills: Exceptional organizational skills, strong written communication abilities, sound judgment, the ability to handle confidential information discreetly, and a Notary Public commission or willingness to obtain one.
• Bonus: A paralegal certificate from an ABA-approved program is strongly preferred, along with prior experience in the oilfield services industry or a law firm environment.
