Investment Banking – M&A Private Capital Advisory – Analyst | JPMorganChase

The Tone:
This is an Analyst role at JPMorganChase, one of the oldest financial institutions and a global leader across banking, markets, securities services, and payments. This role is crucial for supporting clients in raising non-control private capital through bespoke M&A-style processes, serving as an alternative to public markets for various corporate purposes. It enables clients to secure solutions-focused capital and form long-term partnerships with a diverse universe of private investors.

• Team: Private Capital Advisory sits within the M&A group and is part of the global Private Capital Advisory & Solutions team.
• Mission: Assist clients in raising non-control private capital for purposes like M&A, growth, shareholder monetizations, and refinancings through bespoke M&A-style processes.

What You’ll Actually Do
• Transaction Structuring: Work with clients and industry coverage teams to analyze the optimal transaction structure and financial modeling for potential deals.
• Investor Engagement: Analyze the most suitable investor universe for each transaction and speak to investors as part of outreach, for bilateral partnerships, or for broader partner identification, maintaining ongoing dialogue.
• Marketing Material Support: Support the preparation of transaction marketing and process materials, including term sheets.
• Execution Management: Drive day-to-day transaction execution from launch through signing, coordinating investor outreach, diligence processes, management interactions, internal workstreams, and overall transaction management.
• Proposal Analysis & Negotiation: Analyze proposals received from investors, including comparison of key terms, oversee financial modeling to analyze returns under different structures, and support the final negotiations for transactions.

The Must-Haves
• Background: An Analyst with a keen interest in private capital markets, minority M&A, structured transactions, and understanding how minority transactions work, including shareholder and governance agreements.
• Experience: 1-2 years of full-time investment banking experience, specifically in M&A or coverage groups with strong M&A execution.
• Skills: Strong modeling/technical ability and overall corporate finance proficiency, an understanding of capital structures and investor returns modeling, ability to engage in client and investor communications, capacity to take ownership across a transaction, and capability to show initiative and support across several parallel transactions while managing time appropriately.
• Bonus: Prior experience in M&A or capital raising across equity and/or debt/leveraged finance.
