Mergers & Acquisitions Associate Intern | Empower Aesthetics

The Tone:
This is an Associate-level position located in Austin, TX, despite the “Intern” designation in the title, requiring 2+ years of relevant experience. Empower Aesthetics is a new platform investment in the medical aesthetics / medical spa space, launched in 2022, and backed by Shore Capital Partners. Empower focuses on managing and growing medical aesthetics practices, which provide a wide variety of minimally invasive, non-surgical cosmetic services including injectables, body contouring, laser and needle-based skin services, and aesthetician services. Shore Capital Partners is a leading microcap healthcare-focused private equity firm known for identifying attractive industry niches, investing in companies poised for transformational growth, and providing operational expertise to drive equity value creation. This role is crucial for executing Empower’s primary growth engine by supporting high-volume acquisitions and integrations, offering significant deal repetitions and M&A experience.

• Team: Reports to the Chief Development Officer, with high visibility to the executive management team and Shore Capital Partners.
• Mission: To support Empower’s add-on growth strategy through pipeline development, financial analysis, and transaction execution for high-volume acquisitions.

What You’ll Actually Do
• Acquisition Execution: Support the execution of add-on acquisitions and coordinate directly with sellers to efficiently advance deals through the pipeline.
• Transaction Analysis: Lead and perform comprehensive deal-related analysis, including detailed financial modeling and thorough due diligence review of target practices.
• Deal Negotiation & Structuring: Coordinate financial due diligence efforts and support the executive team in critical deal structuring and negotiations for add-ons, collaborating with legal counsel and lenders as required.
• Investment Rationale Development: Generate clear scorecards evaluating add-on opportunities, develop in-depth acquisition memorandums, and present the investment rationale to senior management.
• Strategic Reporting: Assist in the accurate tracking and reporting on the robust pipeline of add-on targets, and work closely with executive management in developing presentation materials for weekly investment committee meetings and quarterly Board of Directors meetings.

The Must-Haves
• Background: Hold a Bachelor’s Degree in Business, Finance, Accounting, or Economics.
• Experience: Possess 2+ years of professional experience in finance and accounting, valuation, and/or business strategy, including practical experience executing M&A transactions or conducting related analyses and diligence processes.
• Skills: Demonstrate strong financial modeling capabilities, excellent organizational skills to manage and prioritize multiple business objectives with urgency, and advanced proficiency in Microsoft Excel, PowerPoint, and Word.
• Bonus: Exhibit a strong desire to learn and execute the entire deal process from initial screening to transaction close, possess the ability to maintain confidentiality, and be capable of working autonomously. Occasional travel may be required.
