The Tone:
This is a full-time role at a boutique investment bank, located in New York, NY, with remote flexibility. Our client is a well-established firm specializing in capital raising and strategic advisory for lower middle market companies, typically ranging from $10M–$150M in enterprise value. This senior, execution-focused role carries significant responsibility across capital markets transactions and client relationships, offering direct impact within an entrepreneurial, hands-on environment. The Director will work directly with founders, management teams, and institutional investors, leading deal processes from origination through close.

The TL;DR

• Team: Works within a flat, entrepreneurial team structure, managing junior analysts/associates and collaborating with senior leadership.
• Mission: Lead deal execution, manage client relationships, and drive transaction processes from origination through close for lower to middle market companies.

What You’ll Actually Do
• Lead: Lead execution of capital markets transactions, including private placements, PIPEs, SPAC-related deals, growth equity raises, bridge financings, and IPOs.
• Manage: Serve as the day-to-day lead on live deals, managing timelines, workstreams, and junior team members (Analysts/Associates).
• Oversee: Oversee development of financial models, valuation analyses, and transaction materials, ensuring accuracy and quality for client and investor audiences.
• Prepare: Drive preparation of investor-facing materials, including pitch decks, confidential information memorandums (CIMs), and management presentations, and manage investor outreach processes.
• Coordinate: Lead due diligence processes, data room management, and Q&A coordination with investors and counterparties throughout transaction cycles.

The Must-Haves
• Background: Bachelor’s degree in Finance, Economics, Accounting, or a related field. Director-level experience in investment banking or capital markets.
• Experience: 6–10+ years of experience in investment banking or capital markets, with strong exposure to private placements, PIPEs, SPACs, or other structured financings. Proven track record of leading transaction execution and managing multiple live deals simultaneously.
• Skills: Advanced financial modeling and valuation skills, including capital structure and dilution analysis. Strong experience developing and reviewing high-quality client and investor materials. Excellent communication and client management skills, with the ability to operate as a trusted advisor. Demonstrated leadership experience managing and mentoring junior team members.
• Bonus: MBA is a plus. Existing relationships with institutional investors (private equity, hedge funds, family offices, credit funds) are a strong plus. Entrepreneurial mindset and comfort operating in a lean environment are also beneficial.
