Clarivate is seeking a highly experienced Director, Assistant General Counsel – Securities and Governance to join its global Legal team. This is a pivotal role focused on U.S. public company disclosure, compliance, and corporate governance, as well as multi-jurisdiction corporate compliance and various corporate finance matters. The role requires a deep understanding of legal and regulatory requirements, corporate governance trends, and extensive experience in managing corporate secretary functions for a publicly traded company.
The successful candidate will support and take significant responsibility for all aspects of Clarivate’s public company obligations, including:
• U.S. public company disclosure and compliance.
• Corporate governance.
• Multi-jurisdiction corporate compliance.
• Corporate finance transactions (including capital markets transactions, credit facilities, and corporate banking matters).
• Corporate restructuring, finance, tax, equity, executive compensation, and stock administration matters.
You will partner with colleagues in finance, investor relations, tax, stock administration, equity administration, compliance, sustainability, and communications. You will provide direct support to the Board of Directors and executive leadership in governance, disclosure, and oversight.
Key responsibilities include:
• Preparing and distributing materials for board and committee meetings.
• Drafting resolutions and managing board/committee communications.
• Maintaining corporate minutes and records and onboarding new directors.
• Advising on corporate governance policies and practices.
• Providing expert legal advice on corporate securities and SEC reporting matters.
• Managing the annual shareholder meeting and proxy statement process.
• Developing and implementing internal policies and controls for securities law compliance.
• Counseling on corporate-related matters such as executive compensation and equity plans.
• Monitoring regulatory developments in cybersecurity, climate, environmental, social, and governance initiatives.
• Supporting sustainability reporting.
• Supporting subsidiary governance and legal entity management globally.
• Acting as the primary point of contact with regulatory bodies (SEC, NYSE).
• Taking ownership of disclosure procedures and internal controls.
