What You’ll Actually Do
• Transaction Support: Support the execution of live transactions for the Consumer Coverage Team.
• Material Composition: Compose marketing materials, including Confidential Information Memoranda, Management Presentations, and Teasers.
• Document Preparation & Management: Prepare offering documents such as prospectuses and term sheets, manage NDA execution with counterparties, distribute marketing materials, and document buyer interactions, while also managing data rooms for investor outreach.
• Financial Analysis & Valuation: Perform due diligence, deal structuring, and prepare valuation analyses including Discounted Cash Flows, Leveraged Buyouts, merger models, precedent transactions, and public comparable analyses, along with operating models, Pro Forma P&Ls, and Return on Investment (ROI) analyses on Saas unit economics.
• Market Research & Strategy: Conduct market analysis on sector trends, competitive positioning, and financial performance for public and private technology companies and consumer verticals, and summarize Business Services tech consumption data to determine business valuation top line revenue.
The Must-Haves
• Background: Master’s Degree in Business Administration, Finance, or a related field, or equivalent. The role requires a strong understanding of investment banking practices and financial market operations.
• Experience: Two (2) years of experience executing mergers, acquisitions, and capital markets transactions, including equity and debt, and executing transaction constructs like corporate carve-outs, sponsor portfolio company sales, and private company sales.
• Skills: Expertise in building and maintaining detailed financial models (DCF, comparable companies, precedent transactions), preparing offering documents, performing due diligence and deal structuring, and conducting comprehensive market analysis.
