Job Description: Corporate/Non-Profit Associate Attorney
Clark Hill PLC is seeking an associate attorney with 4+ years of experience for its Corporate/Non-Profit Business Unit in the Birmingham, MI or Detroit, MI office.
• Responsibilities: This associate will be responsible for representing clients through the life cycle of a nonprofit entity. Specific responsibilities include:
• Providing board governance advice.
• Legal entity formation analysis and filings.
• Template creation.
• Preparing and filing IRS exemption applications.
• Providing unrelated business taxable income advice.
• Drafting and negotiating contracts.
• State- and federal tax-specific research.
• Experience: Prior experience with corporate matters relating to tax-exempt entities and nonprofit organizations is required. Experience with the making of charitable gifts and planned giving would be a positive but is not required.
• Client Interaction: This associate will be client-facing and expected to interact well with clients and recognize and be responsive to client needs.
• Qualifications:
• Must be detail-oriented and possess a solid work ethic.
• Strong interpersonal and verbal and written communication skills are required.
• Strong academic credentials are essential.
• All candidates must be currently licensed to practice law in the State of Michigan.
Compensation and Benefits:
• The salary range for this position at the time of posting is $150,000 – $190,000 annually, based upon a full-time work schedule. Actual compensation will be influenced by various factors, including but not limited to employee qualifications, relevant experience, skill sets, training, internal equity, and market data.
• This position is eligible for an annual discretionary bonus.
