Associate General Counsel – Institutional Asset Management | Neuberger Berman

The Tone:
This is a full-time role at Neuberger Berman, located in New York City. Neuberger Berman is a leading asset manager seeking an Investment Management Attorney to provide advice and support on a broad variety of legal, regulatory, and general corporate matters for its institutional asset management business. This position will primarily support a U.S. registered investment adviser and commodities trading adviser with diverse strategies and products. • Team: Works closely with the Legal and Compliance Department globally and other control functions.
• Mission: Provide comprehensive legal, regulatory, and general corporate advice and support to the institutional asset management business.

What You’ll Actually Do
• Fund Formation: Structure, form, advise, and provide ongoing support for all aspects of private funds, including open-ended funds, closed-end funds, and funds-of-one.
• Client Advisory: Advise on the provision of investment advisory services to institutional separate account clients, including negotiating investment advisory agreements.
• Product Development: Advise with respect to the structuring, development, and distribution of products and investment vehicles in the U.S. and outside the U.S.
• Contract Negotiation: Negotiate agreements with service providers and counterparties.
• Marketing Material Review: Review requests for proposals (RFPs), client questionnaires, and institutional marketing materials.

The Must-Haves
• Background: Juris Doctor. Senior-level attorney with substantial experience in investment management law.
• Experience: At least 8-10 years of experience, including 5+ years within the fund formation group of a large law firm.
• Skills: Extensive knowledge of the Investment Advisers Act of 1940 and the applicability of other regulatory frameworks including the Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, and Commodity Exchange Act (including associated CFTC/NFA issues). Strong organizational skills and the ability to multi-task, communicate effectively with senior management and investment professionals, and work independently while managing multiple, changing priorities and meeting deadlines.
• Bonus: Familiarity with ERISA is preferred.
