CDD – Corporate Lawyer (M/F/X) | TotalEnergies

The Tone:
This is a fixed-term role for 4 months at TotalEnergies, located in COURBEVOIE, France. TotalEnergies’ GRP Branch is dedicated to establishing the Company as a leader in low-carbon energy, encompassing gas (including green gases), electricity, and renewable energies. This role is crucial in providing robust legal support for the development of projects, the creation of strategic equity partnerships, and ensuring appropriate corporate governance for newly acquired subsidiaries within the complex international environment of the GRP Branch, with a particular focus on corporate law matters.

The TL;DR

• Location: In-person COURBEVOIE, France
• Team: Within a legal team of approximately 9 people, reporting to the Head of Department.
• Mission: Ensure the legal and corporate management and monitoring of French entities, support acquisition transactions, and provide expert advice on French corporate law matters for the GRP Branch.

What You’ll Actually Do
• Corporate Governance & Administration: Manage the legal and corporate monitoring of French entities, including routine operations like maintaining corporate registers, overseeing incorporations, liquidations, and dissolutions, drafting minutes, and approving annual accounts.
• Transactional Execution: Execute complex intra-group transactions such as mergers, partial asset contributions, universal transfer of assets and liabilities, and corporate reorganizations, while also supporting intra-group M&A by drafting and monitoring agreements.
• Legal Advisory & Policy: Provide expert advice and coordination on all matters of French corporate law arising from the GRP Branch’s activities, both in France and internationally, and ensure compliance with TotalEnergies SE legal and corporate policies.
• International Coordination & Entity Management: Act as the main point of contact and provide support for corporate governance matters for foreign subsidiaries, implement general and specific delegations of authority, and contribute to the effective management of legal entities within scope.
• External Counsel Oversight & Tool Development: Oversee the selection, use, quality, and cost of external legal advisors and corporate secretarial service providers, and contribute to the development of appropriate legal tools, training materials, and guidelines for operational teams.

The Must-Haves
• Background: Holding a Master’s degree (Master 2) in Business Law, ideally complemented by a specialization in Corporate Law.
• Experience: Minimum 6 years of professional experience acquired within an in-house legal department and/or a law firm.
• Skills: Strong drafting and legal writing skills, attention to detail, strong analytical and summarization skills, ability to work autonomously in a demanding environment, team spirit and excellent interpersonal skills in a multicultural environment, and ability to adopt a business partner approach. Required language skills include English and French as working languages.
• Bonus: Previous law firm experience is appreciated.
