M&A Paralegal | 7-Eleven
The Tone:

This position is an integral part of the Legal group, crucial for executing general corporate and M&A strategies by managing a high volume of deal-related documents. The role requires frequent coordination across multiple company departments and divisions to ensure proper handling of issues.

What You’ll Actually Do
• Deal Documentation: Draft, review, and revise confidentiality agreements, indications of interest, and letters of intent based on standard forms.
• Due Diligence Coordination: Oversee and coordinate with business teams on due diligence review and revise disclosure schedules accordingly.
• Transaction Management: Assist with issue spotting in purchase agreements, draft and maintain transaction checklists, and manage the closing process including coordinating with title companies and escrow agents.
• Real Estate Support: Draft ancillary transaction documents such as landlord consents, assignment and assumption agreements, and assist with title review including surveys, commitments, and zoning reports.
• Corporate Governance: Draft corporate consents, manage corporate entity changes for directors and officers, respond to inquiries about company delegations, and conduct basic research on securities or governance issues.
The Must-Haves
• Background: A Bachelor’s degree and/or paralegal certificate from an ABA approved institution is strongly preferred, combined with relevant legal and real estate or M&A transactional knowledge.
• Experience: At least 3 years of experience in relevant legal and real estate or M&A transactional work.
• Skills: Strong written communication skills in English; strong organizational skills for prioritizing workload and managing deadlines; strong grasp of purchase agreements, legal concepts, and M&A documents, particularly those involving real estate transactions.
