The Tone:
This is a full-time role at Talently, located in the Bay Area. Our client is a leading middle market investment bank focused exclusively on software and software-enabled businesses, providing M&A advisory, recapitalizations, and growth capital. With over 15 years of experience and 300+ transactions closed, this firm has significant institutional depth in an active deal sector. This high-ownership Associate seat plays a central role in executing M&A and growth capital transactions within the software sector, offering direct senior access from day one.

What You’ll Actually Do
• Execution: Execute sell-side and buy-side M&A and growth capital transactions for software and software-enabled companies.
• Modeling: Build financial models tailored to software metrics, including ARR, NRR, churn, and CAC/LTV, alongside traditional valuation frameworks.
• Materials: Develop buyer and investor maps, and prepare marketing materials, Confidential Information Memoranda (CIMs), and pitch materials for active mandates.
• Support: Support due diligence coordination and negotiation processes on live transactions.
• Interaction: Participate directly in client interactions alongside senior bankers.
The Must-Haves
• Background: Bachelor’s degree required with a focus on investment banking, ideally covering the software or SaaS sector.
• Experience: 3+ years of investment banking experience with strong financial modeling skills and familiarity in software-specific metrics and valuation.
• Skills: Intellectual curiosity about software business models and the M&A landscape, excellent communication, high organization, and the ability to thrive in a lean entrepreneurial environment.
• Bonus: MBA a plus
