Senior Manager, Corporate Development | Guidewire Software

The Tone:
This is a full-time role at Guidewire Software. Guidewire provides a comprehensive cloud platform for Property & Casualty (P&C) insurers, combining digital, core, analytics, and AI to help customers engage, innovate, and grow. This role is crucial as part of a small, impactful Corporate Development and New Ventures team, driving the company’s M&A and venture capital strategies and collaborating directly with executive leadership, including the CEO, President, and CFO.

• Mission: Own the sourcing, execution, and integration of venture investments and acquisitions to drive Guidewire’s corporate development and M&A strategy.

What You’ll Actually Do
• M&A Strategy: Assist with developing and executing the company’s M&A strategy and playbook, including leading diligence and negotiation of transactions.
• Market Analysis: Develop a deep understanding of Insurtech companies and trends through research and analysis, synthesizing findings and recommendations for the leadership team.
• Network Building: Develop and maintain a network of industry contacts, VCs, and investment bankers to identify industry trends and proactively build a deal pipeline.
• Deal Leadership: Lead cross-functional teams, including Product, GTM, Finance, Legal, People, IT, and outside counsel, through live deals to ensure timely closing.
• Financial Analysis: Lead advanced financial modeling and valuation for software transactions, partnering on strategy and negotiation preparation.

The Must-Haves
• Background: Bachelor’s degree required, preferably with core domain knowledge in corporate development or investment banking within scaled software/SaaS.
• Experience: 4–6 years in investment banking, with a strong preference for corporate development experience in scaled software/SaaS. Requires strong end-to-end M&A execution experience, including prior experience leading all aspects of an acquisition.
• Skills: Exceptional financial modeling, valuation, and communication skills. Strong strategic and quantitative analysis, coupled with project management abilities. Comfort in external networking and preparing Board-level materials.
• Bonus: MBA preferred. Property & Casualty insurance understanding will be prioritized. Experience with multiple deals is a plus. Ability to use AI/data tools to improve process efficiency.
