Corporate Development Associate (M&A) | EquipmentShare

The Tone:
This is a full-time role at EquipmentShare, working remotely and reporting to Corporate Headquarters in Columbia, MO. EquipmentShare aims to transform the construction industry by empowering contractors and communities through technology and real-time support. This role is critical for driving the company’s growth strategy through M&A deal execution, directly contributing to changing a traditional industry.

• Mission: Own M&A deal execution from LOI through close, including project management, due diligence leadership, financial analysis, and integration planning.

What You’ll Actually Do
• Deal Execution: Own project management of workstreams across multiple live deals, including diligence tracking, workplan management, meeting cadence, and stakeholder alignment from LOI through close.
• Diligence Leadership: Lead confirmatory diligence by building and managing checklists, coordinating functional teams (Finance/Accounting, Treasury, IT, HR, Ops), synthesizing findings, and escalating risks early.
• Financial Underwriting: Support valuation, purchase price mechanics, working capital, and key deal economics by developing and maintaining deal models, sensitivity analyses, and investment committee materials.
• Closing Coordination: Drive readiness reviews and ensure all parties are aligned on funds flow, prorations, and closing requirements by maintaining the closing tracker.
• Integration Planning: Initiate Day 1 and initial 30–100 day planning with Integration leads, ensuring smooth handoffs and business success post-close.

The Must-Haves
• Background: Bachelor’s degree in Finance, Accounting, Business, Economics, or a related field.
• Experience: At least 4 years in Investment Banking, Private Equity, Corporate Development, Transaction Advisory, FP&A, or other deal execution roles with strong project management and financial skillsets. Strong Excel / Google Sheets skills; comfort with CRMs (HubSpot), data rooms, and document management.
• Skills: Analytical with strong financial modeling and diligence synthesis skills; high attention to detail; execution-oriented, managing many moving pieces and pushing stakeholders to deadlines; clear written/verbal communication, able to interface with executives, operators, and external advisors.
• Bonus: A passion for modernizing the $2T construction industry.
