The Tone:
This is an internship position at Kroll, located in the United States. Kroll is a global leader in risk and financial advisory solutions, blending trusted expertise with cutting-edge technology to navigate and redefine industry complexities. This role is crucial for Kroll’s Global Mergers & Acquisitions Team, enabling the firm to advise middle-market companies on critical sellside, buyside, and capital raising transactions, ultimately helping clients build, protect, restore, and maximize their value.

• Mission: Support Kroll’s M&A practice in advising middle-market companies on sellside, buyside, and capital raising transactions.

What You’ll Actually Do
• Support transaction advisory and execution: Assist senior management teams and gain exposure to clients, board members, and stakeholders across all phases of transaction advisory and execution in both healthy and distressed situations.
• Conduct financial analysis: Support M&A, restructuring, and special situations deal teams by performing financial modeling and analytics.
• Draft transaction documents: Prepare key transaction documents, including situation analyses, pitch materials, information memoranda, management presentations, and term sheets, to support M&A assignments.
• Perform comprehensive due diligence: Conduct thorough research and due diligence on companies, industries, markets, and competitors.
• Manage deal communication: Maintain open lines of communication between the deal team and potential M&A buyers/sellers, including managing the data room and coordinating management meetings.

The Must-Haves
• Background: Early Career. Bachelor’s or Master’s degree in Finance, Accounting, Business Administration or Management (with a concentration in Accounting, Economics or Finance), Economics, or other degree with a minimum of four Junior and/or Senior level courses in Accounting, Economics or Finance from an accredited university or college. Expected graduation date between December 2026 and August 2027.
• Experience: Major GPA of 3.2 or higher. Demonstrated leadership experience and strong personal integrity. Commitment to obtaining outstanding results. Must be currently authorized to work in the United States without the need for visa sponsorship now or in the future.
• Skills: Analytical (a critical, detail-oriented thinker who can quickly evaluate and analyze companies and financial information and master new tasks quickly). Communication (excellent quantitative, writing, and communication skills). Technical Proficiency (strong working knowledge of Excel, Word, and PowerPoint). Work Ethic (ability to prioritize tasks, work on multiple engagements, and manage rapidly changing assignments in a team environment). Team Collaboration (ability to work effectively with senior professionals in an engagement team).
• Bonus: FINRA Series 79, 63 & 7 certification (either current or able to obtain).
