The Tone:

The role is critical for ensuring the integrity and managing the risk associated with the firm’s equity and fixed income securities issuances in the Japanese capital markets. It focuses on maintaining robust underwriting review processes and fostering strong relationships with key internal and external stakeholders.

• Mission: Execute all responsibilities regarding the comprehensive underwriting review of equity and/or fixed income securities issuances handled by the firm.

What You’ll Actually Do
• Underwriting Review: Execute all responsibilities for the end-to-end underwriting review process for equity and/or fixed income securities issuances, from initial structuring discussions through final approval forums.
• Report Oversight: Review and approve comprehensive underwriting review reports, ensuring accuracy and adherence to standards.
• Business Partnership: Collaborate closely with the Front Office on the successful execution of equity and/or fixed income securities issuances transactions.
• Stakeholder Engagement: Facilitate and maintain strong relationships with key internal clients in Banking and Risk, as well as with external regulators, Internal Audit, and other control functions.
• Issue Resolution: Partner with banking and product organizations to discuss and effectively address issues associated with various equity and/or fixed income securities issuances transactions.

The Must-Haves
• Background: Bachelor’s/University degree; Senior professional with expertise in business risk and institutional credit management within capital markets.
• Experience: At least 5+ years of experience in underwriting review operations, with practical knowledge of business performance and disclosure reviews.
• Skills:
• Underwriting Review Expertise: Comprehensive understanding of underwriting review processes for diverse equity and fixed income securities issuances.
• Communication & Stakeholder Management: Excellent verbal, written, and presentation skills, with a proven ability to build partnerships and effectively engage with regulators and internal control functions.
• Risk Assessment & Analytical Thinking: Strong analytical capabilities, business acumen, and the ability to provide balanced risk/return assessments for transactions and client relationships.
• Language Proficiency: Fluent in both Japanese and English.
• Bonus: 10+ years of underwriting review or underwriting business experience at a securities firm; deep understanding of Japanese capital markets, laws, accounting, regulations, and local practices; demonstrated strong ethics, integrity, and the ability to see the “big picture” in complex environments.
