What You’ll Actually Do
• Draft & Review Agreements: Draft, review, and coordinate internal approval for complex commercial agreements covering global strategic partnerships, including creative, advertising, media, digital technology, marketing procurement, sports, entertainment, and IT vendors.
• Support Negotiations: Assist attorneys in negotiation preparation and strategy by analyzing contract requirements, identifying risks, and providing process support for key clauses and governance obligations.
• Modernize Legal Processes: Contribute to the modernization of legal operations by adopting AI-assisted document review, predictive analytics, and Contract Lifecycle Management (CLM) systems to improve efficiency and reduce risk.
• Ensure Governance: Maintain strong governance practices by accurately integrating agreements into databases, CLM platforms, and document control systems, aligning with internal standards.
• Provide Guidance & Training: Deliver training and practical guidance to internal stakeholders on recurrent contractual issues and technology-enabled tools, enabling self-service where appropriate.

The Must-Haves
• Background: This role requires a minimum of 5 years of experience as a transactional paralegal supporting commercial contracts, either within a law firm or a corporate legal department. A Bachelor’s degree or an Associate’s degree combined with a Paralegal Certificate from an ABA-approved program is preferred.
• Experience: Candidates must have proven experience using Microsoft Office Suite, Contract Lifecycle Management (CLM) platforms, legal research tools, and AI-powered systems for document analysis or workflow automation.
• Skills: Strong knowledge of contract drafting standards, negotiation processes, and risk evaluation for complex agreements involving diverse jurisdictions is essential. Excellent written and verbal communication skills are required, with the ability to simplify technical concepts for business stakeholders. The role also demands an ability to manage multiple priorities under minimum supervision, maintaining organizational precision under tight deadlines, alongside an analytical and process-oriented mindset.
• Bonus: A collaborative approach with the capability to influence and engage stakeholders across various functions is preferred. Candidates should also possess an openness to continuous learning regarding emerging technologies impacting commercial contracting.
