Paralegal (Finance) | Mayer Brown

The Tone:
This is a full-time role at Mayer Brown, located in Chicago, IL. This role is crucial for providing critical support to attorneys in the firm’s high-volume, deadline-driven finance practice, assisting with all phases of transactions to ensure excellence and strategic partnership. What You’ll Actually Do
Document Preparation: Review appropriate documentation to draft a wide range of transactional documents, including UCC financing statements, corporate charters, resolutions, and officer certificates.
Administrative Filings: Prepare and submit EIN applications, and obtain CIK codes and CUSIP numbers for securities.
Document Editing & Coordination: Edit documents such as promissory notes, security agreements, and finance statements, and manage signature page distribution, collection, and quality control.
Due Diligence & Public Records: Order, analyze, and summarize lien searches; obtain business entity documents from public offices; and coordinate UCC financing statement filings with the UCC Compliance Department.
Closing Management & Post-Closing: Proactively participate in closings by creating and maintaining checklists, preparing and circulating documents, and organizing transaction materials into electronic binders for proper archiving.

The Must-Haves
Background: Bachelor’s degree required, with core domain knowledge in finance law support.
Experience: 3-5 years of related experience, preferably with prior law firm experience.
Skills: Proficiency in Microsoft Office products, strong written and verbal communication, exceptional attention to detail, strong organizational skills, and ability to manage multiple priorities.
Bonus: Paralegal certificate from an ABA approved paralegal program, knowledge of vendor platforms for the preparation of UCCs.
