This role is vital for supporting multinational clients of Mercator® by Citco, helping them navigate complex regulatory and compliance requirements across over 170 jurisdictions. Your work will provide critical support to ensure clients meet their ongoing legal and statutory obligations.

• Team: Mercator® by Citco, reporting to an Account Manager based in Vilnius, Lithuania
• Mission: Provide corporate subsidiary governance services and registered agent support to multinational clients, ensuring compliance with global regulatory requirements.
What You’ll Actually Do
• Document Management: Draft, review, and file corporate and transactional documents, including state forms, for all stages of a company’s lifecycle from incorporation to dissolution in various US states.
• Due Diligence: Conduct comprehensive due diligence, order certified documents, perform lien searches, and complete Uniform Commercial Code (UCC) filings for client entities.
• Registered Agent Services: Set up and provide commercial registered agent services in Delaware, maintaining necessary accesses, registrations, and compliance with applicable state regulations, including accepting and distributing service of process.
• Regulatory Filings: Perform and monitor statutory state and federal filings with relevant authorities for a designated portfolio of clients, ensuring timely and accurate submission.
• Client Coordination: Coordinate effectively with clients, business partners, and colleagues globally to gather required information and documentation for assignments, while ensuring local, international, and industry-specific requirements are met.
The Must-Haves
• Background: Bachelor’s Degree or a paralegal certificate from an approved ABA program, coupled with core domain knowledge in corporate law, entity management, due diligence, and corporate maintenance.
• Experience: 3+ years of experience in the corporate law field, entity management, due diligence, and corporate maintenance, with solid experience acting as a registered agent in Delaware. Experience in client servicing and project management, especially with international exposure, is also required.
• Skills: Ability to manage multiple priorities in a fast-paced environment, self-motivation, strong attention to detail, analytical abilities, problem-solving skills, and effective communication skills.
• Bonus: Notary Public commission would be an advantage.
