What You’ll Actually Do
• Review: Review complex organizational documents for statutory compliance and fee payment, covering various Virginia and foreign business entities.
• Examine: Examine intricate business entity mergers, amendments, domestications, and conversions to ensure legal adherence.
• Determine: Determine legal requirements for the formation of regulated Virginia businesses, including banks, insurance companies, and public service entities.
• Evaluate: Review complex applications for foreign business entities seeking certificates of authority, withdrawals, and cancellations, verifying compliance and fees.
• Respond: Respond to complex inquiries from attorneys, governmental agencies, and the public regarding legal interpretations and application procedures.
The Must-Haves
• Background: Bachelor’s degree or Law degree from an accredited school, combined with professional experience in business entity document preparation, review, or analysis.
• Experience: Considerable knowledge of the Code of Virginia Titles concerning business entity formations, mergers, amendments, and reinstatements, alongside statutory and administrative laws relevant to legal assignments.
• Skills: Ability to review complex business entity documents for statutory compliance and identify inadequacies; research complex legal questions and interpret rulings; and express ideas clearly in writing and verbally.
• Bonus: Knowledge of automated systems, processes, and procedures related to document filing.
