Vice President, Leveraged Finance | Mitsubishi UFJ Financial Group

• Team: EMEA Legal team, specifically the Leveraged Finance Legal Team, supporting both MUFG Bank and MUFG Securities businesses.
• Mission: Provide clear, pragmatic, and solutions-oriented legal advice for leveraged finance transactions across multiple jurisdictions while acting as a strategic advisor to business teams.

What You’ll Actually Do
• Review Transactions: Deliver risk-based review of leveraged finance transactions, providing pragmatic legal advice covering various agreements and documentation.
• Advise on Security: Advise on the effectiveness of security structures, enforcement options, and the ranking and priorities of creditors in leveraged finance transactions.
• Guide Exit Strategies: Offer guidance on exit strategies and restructuring options across key jurisdictions including the UK, US, Spain, France, Italy, and DACH.
• Strategic Advice: Act as a strategic advisor to business teams, focusing on creative solutions that enable business objectives while maintaining compliance.
• Drive Innovation: Drive initiative and innovation by developing frameworks within leveraged finance aimed at increasing efficiency and simplifying processes.

The Must-Haves
• Background: Qualified solicitor in England & Wales or another jurisdiction such as Continental Europe (France/Germany), Australia, New Zealand, Canada, or New York, with university-level qualifications or equivalent.
• Experience: Extensive experience as a structured finance lawyer gained either in private practice with a major law firm or in-house at a significant financial institution or sponsor active in leveraged finance markets.
• Skills: Demonstrated commercial awareness of current market issues and regulatory changes affecting leveraged finance structures; solid technical understanding of leveraged finance documentation, including common security packages and familiarity with European and US LF transactions; ability to simplify complex concepts for business stakeholders while pinpointing key risks using a risk-based approach; in-depth knowledge of case law underpinning leveraged finance transactions coupled with specialist advice on highly complex issues; confidence functioning independently whilst recognising when escalation is required for matters outside legal risk appetite.
• Bonus: Awareness of market developments including sponsor trends, understanding cross-border enforcement/restructuring topics, a coaching mindset with aptitude for disseminating knowledge among colleagues, strong familiarity with AI solutions applicable to work product, French/Italian/Spanish language proficiency, and excellent Microsoft Office skills.
