Corporate Development Associate (M&A) | EquipmentShare
The Tone:
This is a full-time role at EquipmentShare, located remotely with reporting to our Corporate Headquarters in Columbia, MO. EquipmentShare builds technology solutions to empower contractors and communities, aiming to transform the construction industry. This role is crucial for assembling the best team to build something new, directly contributing to the company’s growth through significant mergers and acquisitions.

• Mission: This person owns M&A deal execution from LOI through close, managing projects, leading due diligence, and performing financial analysis to drive company expansion.
• Tech Stack: Excel, Google Sheets, CRMs (HubSpot), data rooms, document management
What You’ll Actually Do
• Deal Execution: Own M&A deal execution and project management across multiple live deals from LOI through close, including workstream management, meeting cadence, and stakeholder alignment.
• Diligence Leadership: Lead confirmatory diligence by building and managing checklists, coordinating functional teams, synthesizing findings, and escalating risks early.
• Financial Analysis: Develop and maintain financial analysis and underwriting models to support valuation, purchase price mechanics, working capital, and key deal economics, preparing investment committee materials.
• Data Room Management: Manage data room requests and document organization, ensuring sellers and advisors deliver critical items on time and tracking missing deliverables.
• Transaction Support: Coordinate with internal and external counsel on APA/SPA drafts and ancillary documents, tracking open issues and confirming alignment across the term sheet and closing deliverables.
The Must-Haves
• Background: Associate-level professional with strong financial modeling and diligence synthesis skills. A Bachelor’s degree in Finance, Accounting, Business, Economics, or a related field is preferred.
• Experience: At least 4 years in Investment Banking, Private Equity, Corporate Development, Transaction Advisory, FP&A, or other deal execution roles with demonstrated project management and financial skillsets.
• Skills: Analytical with a high attention to detail; execution-oriented and comfortable managing multiple moving pieces while driving stakeholders to deadlines; clear written and verbal communicator able to interface with executives, operators, and external advisors; possesses an ownership mindset, being proactive, self-directed, and accountable; proficient in Excel/Google Sheets, comfortable with CRMs (HubSpot), data rooms, and document management.
• Bonus: A strong interest in modernizing the construction industry.
