Corporate Paralegal | Atlas Search

The successful candidate will ensure robust corporate governance, meticulous record-keeping, and seamless compliance across all corporate entities.

The TL;DR
• Role: Mid-Senior Level
• Pay: $100000–$175000 yearly
• Mission: Ensures the firm’s corporate governance, entity compliance, and record-keeping are meticulously managed and up-to-date.

What You’ll Actually Do
• Corporate Record Keeping: Systematically maintain and update all corporate records, including organizational documents, comprehensive governance records, operating agreements, and their amendments, ensuring accuracy and accessibility.
• Entity Management Oversight: Manage the entity management database to ensure precise and up-to-date entity and registered agent information, vital for regulatory compliance and operational clarity.
• Governance Document Preparation: Prepare and draft critical corporate governance documents such as board resolutions, written consents, and other formal instruments required for legal and operational adherence.
• Compliance and Restructuring Support: Monitor essential compliance deadlines, maintain accurate organizational charts, and provide direct support for complex corporate restructurings and related initiatives.
• Due Diligence and Entity Lifecycle: Respond efficiently to KYC and due diligence requests by providing necessary corporate records and compliance documentation, and coordinate all aspects of entity dissolutions, withdrawals, and wind-down filings.

The Must-Haves
• Background: A bachelor’s degree is required, coupled with over four years of specialized paralegal expertise within a corporate framework.
• Experience: At least 4 years of dedicated paralegal experience, with specific hands-on experience in entity management and a demonstrated background working within the financial services sector.
• Skills: Corporate Record Maintenance, Entity Management Database Proficiency, Corporate Governance Document Drafting, Compliance Monitoring, KYC and Due Diligence Response Coordination
