This role is critical as it provides exceptional legal support services to government attorneys within the Department of War’s Office of Strategic Capital, directly contributing to national security by attracting and scaling private investment in critical technology and supply chain areas.

• Team: Reports under the direct supervision of a government attorney within the Department of War’s Office of Strategic Capital.
• Mission: To provide legal support services for the Department of War’s Office of Strategic Capital, assisting government attorneys in their mission to attract and scale private investment into critical technology and supply chain areas vital to national security.

What You’ll Actually Do
• Legal Due Diligence: Assist in the legal due diligence process, including drafting, reviewing, and negotiating transaction documents for loan and loan guarantees under government attorney supervision.
• Transaction Management: Support government attorneys in managing the legal aspects of active transactions, encompassing the formulation of restructuring and recovery strategies for defaulted loans.
• Research and Analysis: Conduct legal research and analysis on intricate legal and policy matters, drafting memoranda and other work products for review and approval by supervising government attorneys.
• Policy Development: Assist in developing and refining legal frameworks, documents, and policies for the Office of Strategic Capital’s loan and loan guarantee programs to ensure compliance with federal law.
• Financing Product Analysis: Provide support to government attorneys in the legal analysis of diverse financing products, including corporate finance, asset-based lending, and project finance.

The Must-Haves
• Background: Graduate of an accredited law school with a Juris Doctor (J.D.) or Bachelor of Laws (LL.B.) degree, with expertise in finance and investment law.
• Experience: Minimum of fifteen (15) years of professional experience, including at least three (3) years in finance law, with a preference for experience in corporate finance, asset-based lending, project finance, or loan guarantees.
• Skills: U.S. citizenship; strong knowledge of legal principles related to investment, loans, and financial transactions; demonstrated ability to perform complex legal research, analysis, and writing; exceptional attention to detail in drafting and reviewing legal and financial documents; excellent interpersonal and communication skills.
• Bonus: Ability to obtain a Secret clearance (required to maintain employment, but not to start).
