Funds Paralegal | Fenwick & West

The Tone:
This is a full-time, non-exempt paralegal role at Fenwick & West, a legal firm supporting attorneys in the formation and management of venture capital. This position is crucial for providing essential support in the complex legal processes of fund formation and ongoing management, contributing directly to the efficiency and success of the Corporate Funds practice.

What You’ll Actually Do
• Fund Formation: Assist with the formation and qualification of partnership and limited liability company-structured funds, general partners, management companies, special purpose vehicles, and parallel funds, including coordination with service providers and registered agents.
• Document Management: Prepare, review, and track key organizational documents such as operating agreements, employer identification number documents, subscription agreements, side letters, and ancillary agreements, interfacing with attorneys, clients, investors, and fund administrators.
• Regulatory Filings: Prepare and file required securities filings, including Form D and blue-sky filings, ensuring compliance with regulatory requirements.
• Closing Coordination: Coordinate fund closings, which involves tracking open items, updating investor documents, obtaining accurate tax documents, conducting OFAC research, and delivering closing emails and document links from virtual data rooms.
• Operational Support: Support ongoing fund operations by assisting with amendments, name changes, restructuring, 83(b) filings, commitment changes, transfers, and dissolutions, while consistently maintaining document management systems.

The Must-Haves
• Background: Bachelor’s degree or paralegal certificate from an ABA-approved school is required, along with core domain knowledge in venture and/or private equity funds.
• Experience: Minimum of 3–5 years of paralegal experience specifically in venture and/or private equity funds within a Big Law or comparable law firm environment.
• Skills: Demonstrated excellent organizational skills, ability to manage multiple matters under tight deadlines, high level of attention to detail and accuracy, strong written and verbal communication skills, and advanced proficiency with Microsoft Office Suite and DocuSign (including templates and powerforms).
• Bonus: Some experience with document management systems and virtual datarooms is a plus, as is comfort working alongside AI tools and a curiosity to continuously learn and adopt new ways of working as technology evolves.
