Corporate Paralegal | Gibson Dunn

This is a full-time, in-person role at Gibson Dunn, located in Dallas. This Corporate Paralegal role is integral to providing comprehensive legal and administrative support throughout the lifecycle of corporate transactions, ensuring precision and vision in every task from document management and due diligence to transaction closings and post-closing requirements.

• Mission: To provide comprehensive legal and administrative support for corporate transactions from due diligence through post-closing requirements.

What You’ll Actually Do
• Due Diligence & Preliminary Drafting: Coordinate and summarize various legal searches including UCC, tax lien, judgment, litigation, and bankruptcy, utilizing AI tools such as KIRA and Harvey to prepare detailed diligence matrices. Also, prepare “shell” disclosure schedules for both sell-side and lower middle-market, buy-side transactions.
• Corporate Formation & Maintenance: Draft initial corporate organizational documents, stock certificates, stock ledgers, and capitalization tables, coordinating necessary filings. Manage U.S. state qualifications, name reservations, amendments, merger documents, dissolutions, foreign registration cancellations, and order good standing or certified formation documents.
• Transaction Closing Facilitation: Support transaction closings by using iManage Closing Folders to prepare signature packets, final executed documents, and client-facing closing binders. Coordinate notarization and apostillization of critical documents as required.
• Post-Closing & Regulatory Filings: Assist in tracking and managing post-closing deadlines and collateral requirements, including drafting release instructions for adjustment and indemnity escrow accounts. Prepare and submit IRS SS-4 EIN applications, SEC Form ID applications, SEC Form D, related blue sky filings, and UCC financing statements with collateral descriptions.
• Document Execution Workflow: Maintain company records notebooks, prepare signature packets, arrange for document execution, and send documents via DocuSign. Compile all executed documents and assemble exhibits for various legal matters.
The Must-Haves
• Background: Bachelor’s Degree required, with a demonstrated understanding of corporate legal processes and transactions.
• Experience: A minimum of 5 years of relevant corporate paralegal experience is preferred.
• Skills: Superior analytical and reasoning abilities, strong written and verbal communication skills, and excellent organizational skills with keen attention to detail. Must be proactive, adept at handling multiple projects simultaneously, comfortable in client-facing situations, and capable of balancing priorities and tight deadlines.
• Bonus: A paralegal certificate from an ABA-approved program or Notary commission is preferred.
