Corporate Paralegal | Oscar Health
The Tone:
This is a remote position at Oscar Health, open to candidates residing in Atlanta, GA. Oscar is the first health insurance company built around a full stack technology platform, operating with a clear focus on serving its members. Founded in 2012, Oscar set out to create a health insurance experience that behaves like a trusted doctor in the family, prioritizing member needs and leveraging technology. This Corporate Paralegal role is a key position within the Corporate Legal team, specifically tasked with project managing and supporting Oscar’s entity management and subsidiary governance workflows. The individual in this role will work closely with various internal Oscar teams and interact with external regulators, ensuring the company’s legal structure is robust and compliant.

• Mission: Manages and supports Oscar’s entity management and subsidiary governance workflows to maintain corporate compliance and operational efficiency.

What You’ll Actually Do
• Subsidiary Governance: Support the Corporate Secretary function by drafting agendas, meeting minutes, resolutions, and consents for subsidiary board cycles. This includes communicating with board members, assisting during board meetings, and managing off-cycle board actions and updates.
• Legal Entity Management: Oversee Oscar’s portfolio of legal entities by drafting and revising corporate documents, meticulously maintaining corporate records, and tracking all annual statements and other critical filing deadlines.
• Regulatory & Inter-company Filings: Prepare, review, and accurately file annual reports and amendments related to insurance holding company systems. This also involves managing and overseeing all inter-company agreements to ensure regulatory adherence.
• Corporate Structure Expertise: Serve as a subject matter expert regarding Oscar’s corporate structure, responding comprehensively to audit requests for corporate information from various cross-functional teams and drafting necessary correspondence to regulators.
• Project and Process Development: Manage special projects such as strategic transactions, entity name changes, or internal legal team initiatives, and contribute to the development of internal procedural guides on entity management and subsidiary governance.
The Must-Haves
• Background: A Bachelor’s degree or 4 years of equivalent experience, coupled with foundational knowledge in corporate paralegal work, entity management, and corporate governance.
• Experience: At least 2 years of corporate paralegal experience including corporate regulatory filings, plus 2 years of experience designing and enhancing workflows. Demonstrated cross-functional project management skills are also required.
• Skills: Strong organizational and detail-oriented abilities, high ethical standards with proven confidentiality, and proficiency in MS Word, Excel, Google Suite, and Zoom.
• Bonus: Prior experience within the healthcare or insurance industries, or experience applying AI tools to corporate paralegal processes.
