Corporate Paralegal | Oscar Health
The Tone:
This is a full-time role at Oscar Health, located in New York City, NY. Oscar is the first health insurance company built around a full stack technology platform, focused on serving its members. The company started in 2012 with the aim of creating a health insurance experience that behaves like a doctor in the family. This Corporate Paralegal position is a key member of the Corporate Legal team, responsible for managing projects and supporting the company’s entity management and subsidiary governance. The role is critical for ensuring compliance and seamless operation within Oscar’s legal structure, working with both internal teams and external regulators.

• Mission: Responsible for managing and supporting Oscar’s entity management and subsidiary governance workflows.

What You’ll Actually Do
• Support Governance: Assist the Corporate Secretary by drafting agendas, meeting minutes, resolutions, and consents, communicating with board members, and supporting during and between subsidiary board meetings.
• Manage Entities: Oversee Oscar’s portfolio of legal entities by preparing and updating corporate documents, maintaining accurate corporate records, and tracking all necessary filing deadlines.
• Handle Regulatory Filings: Prepare, review, and submit annual insurance holding company system filings and amendments, while also managing inter-company agreements.
• Provide Expertise: Serve as a subject matter expert on Oscar’s corporate structure, respond to audit requests from various internal teams, and draft correspondence to regulators.
• Lead Projects: Project manage specific initiatives such as strategic transactions, entity name changes, and various internal legal team projects.
• Develop Processes: Contribute to creating internal procedural guides for entity management and subsidiary governance, aiming to streamline operations and preserve institutional knowledge.
The Must-Haves
• Background: Bachelor’s degree or four years of equivalent professional experience.
• Experience: Two or more years of corporate paralegal experience, specifically including entity management, corporate governance, and corporate regulatory filings. Also, two or more years of experience designing and improving workflows, alongside demonstrated cross-functional project management abilities.
• Skills: Highly organized with exceptional attention to detail; maintains high ethical standards and proven ability to keep sensitive information confidential; collaborates effectively within a team environment; proficient with MS Word, Excel, Google Suite, and Zoom.
• Bonus: Prior experience working within the healthcare or insurance industry; experience implementing AI tools to enhance corporate paralegal processes.
