Paralegal (Finance) | Mayer Brown

The Tone:
This is a full-time role at Mayer Brown, located in Chicago, IL. Mayer Brown is an international law firm representing major corporations, funds, and financial institutions in their most important and complex transactions and disputes. This role is critical for providing support to attorneys in a high-volume, deadline-driven finance practice, assisting with all phases of transactions. • Mission: Provide critical support to attorneys across all phases of finance transactions, including document preparation, due diligence, closing coordination, and post-closing management.
• Tech Stack: Microsoft Office products, vendor platforms for UCCs

What You’ll Actually Do
• Document Drafting: Draft a wide range of transactional documents, including UCC financing statements, corporate charters, resolutions, and officer certificates, and prepare EIN applications.
• Public Records Management: Order, analyze, and summarize lien searches; obtain business entity documents like certified charters and good standing certificates from public offices.
• Closing Coordination: Proactively participate in transaction closings by creating and maintaining detailed checklists, preparing and circulating documents, and coordinating with all parties.
• Post-Closing Management: Organize and assemble all transaction documents into electronic binders and other post-closing deliverables, ensuring proper archiving according to firm protocols.
• Signature Page Coordination: Manage the distribution, collection, and quality control of signature pages for transactional documents.

The Must-Haves
• Background: Bachelor’s degree required, demonstrating a foundational understanding applicable to the legal finance domain.
• Experience: 3-5 years of related professional experience is preferred, with prior law firm experience also preferred.
• Skills: Proficiency in Microsoft Office products; strong written and verbal communication; exceptional attention to detail, organizational skills, and the ability to manage multiple priorities; strong customer service and problem-solving capabilities; ability to work under pressure and meet deadlines.
• Bonus: Paralegal certificate from an ABA approved paralegal program; knowledge of vendor platforms used for UCC preparation.
